Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and Legal Leadz AI ("Company," "we," "us," or "our"), a digital marketing agency based in Wellington, Florida. By accessing our website at legalleadz.ai or engaging our marketing services, you agree to be bound by these Terms. If you do not agree, do not access our website or use our services.

Services

Legal Leadz AI provides digital marketing services for law firms, including but not limited to:

  • Google Ads campaign management and pay-per-click advertising
  • Search engine optimization (SEO) and content marketing
  • Website design and development
  • Social media advertising (Facebook, Instagram, and other platforms)
  • Email marketing and lead nurturing
  • Creative services including ad design, video production, and brand identity
  • AI-powered lead generation and data-driven targeting

The specific scope of services, deliverables, timelines, and fees for each engagement will be defined in a separate Service Agreement or Statement of Work ("SOW") executed between the parties.

Client Obligations

As a client of Legal Leadz AI, you agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Grant timely access to accounts, platforms, and assets required for campaign management (including Google Ads, Google Analytics, Facebook Business Manager, website hosting, and CRM systems)
  • Review and approve materials, content, and campaigns in a timely manner
  • Comply with all applicable laws, regulations, and advertising guidelines related to your industry
  • Ensure that all content and information you provide to us is accurate, lawful, and does not infringe on any third-party rights
  • Pay all fees and invoices in accordance with the agreed-upon payment terms

Fees and Payment

Fees for our services are outlined in each individual Service Agreement or SOW. Unless otherwise specified:

  • Management fees are billed monthly in advance and are due upon receipt of invoice
  • Ad spend is billed directly by the respective advertising platform (Google, Meta, etc.) to the Client's payment method on file
  • Setup fees, if applicable, are billed upon execution of the Service Agreement
  • Late payments are subject to a late fee of 1.5% per month on outstanding balances
  • All fees are in U.S. dollars and are non-refundable unless otherwise stated in the Service Agreement

We reserve the right to pause or suspend services for accounts with overdue balances exceeding thirty (30) days.

Term and Termination

The term of each engagement is specified in the applicable Service Agreement. Unless otherwise agreed:

  • Either party may terminate the Service Agreement with thirty (30) days' written notice
  • We may terminate immediately if the Client breaches any material term of these Terms or the Service Agreement
  • Upon termination, the Client is responsible for all fees incurred up to the effective date of termination, including any minimum commitment periods specified in the Service Agreement
  • Upon termination, we will provide reasonable transition assistance, including transfer of account access and campaign data, within thirty (30) days

Intellectual Property

Client Materials: You retain all ownership rights in the content, trademarks, logos, and materials you provide to us. You grant us a non-exclusive, limited license to use these materials solely for the purpose of performing our services during the term of our engagement.

Company Materials: We retain all ownership rights in our proprietary tools, systems, methodologies, templates, and processes, including any AI models, targeting algorithms, and data analysis frameworks developed by Legal Leadz AI. These are not transferred to the Client.

Work Product: Unless otherwise specified in the Service Agreement, custom creative work (ad copy, designs, landing pages, and content) produced specifically for the Client becomes the Client's property upon full payment of all associated fees.

Advertising Platform Terms

Our services involve the use of third-party advertising platforms, including Google Ads and Meta (Facebook/Instagram). By engaging our services, you acknowledge and agree that:

  • All advertising campaigns are subject to the respective platform's advertising policies, terms of service, and editorial guidelines
  • We are not responsible for platform policy changes, ad disapprovals, account suspensions, or other actions taken by third-party platforms
  • Campaign performance is influenced by factors beyond our control, including market conditions, competition, platform algorithm changes, and seasonal trends
  • We manage campaigns under our Google Ads MCC (Manager Account) and will follow all applicable Google Partner program requirements

Performance Disclaimers

While we are committed to delivering high-quality marketing services and have a strong track record of results, we cannot and do not guarantee specific outcomes, including:

  • A specific number of leads, conversions, or signed cases
  • Specific search engine rankings or positions
  • A specific return on investment (ROI) or cost per lead
  • Specific revenue or case value outcomes

Past performance data, case studies, and testimonials presented on our website or in marketing materials reflect actual client results but are not guarantees of future performance. Results vary based on market conditions, geographic location, practice area, competition, budget, and other factors.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information, including business strategies, client data, campaign performance data, pricing, and trade secrets. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law or as necessary to perform the agreed-upon services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGAL LEADZ AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR ANY SERVICE AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO LEGAL LEADZ AI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Legal Leadz AI, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms or any Service Agreement
  • Your violation of any applicable law or regulation
  • Any content or materials you provide to us that infringe on third-party rights
  • Any claims by third parties related to your business, services, or advertising content

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or any Service Agreement shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall be conducted in Palm Beach County, Florida, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Governing Law

These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

Website Use

By accessing our website, you agree that:

  • You will not use the website for any unlawful purpose or in violation of any applicable laws
  • You will not attempt to gain unauthorized access to our systems, servers, or networks
  • You will not interfere with or disrupt the operation of the website
  • You will not reproduce, distribute, or create derivative works from our website content without written permission
  • All content on the website, including text, graphics, logos, images, and software, is the property of Legal Leadz AI and is protected by copyright and intellectual property laws

Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Effective Date." Your continued use of our website or services after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

Entire Agreement

These Terms, together with any executed Service Agreement or SOW, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.
